１月末に実施いたしましたシリーズB増資1次募集に引き続き、第三者割当増資を行い
三生キャピタル株式会社、ウエルインベストメント株式会社の２社より追加資金調達
を行いました。この結果、シリーズB増資による増資額は約8億円となりました。
　
今回調達した資金は先の調達資金同様に、本年後半にINDファイリング（米国治験申
請）を迎えるRGI-2001の開発、IdioVax各プログラムの推進、および技術プラット
フォーム、reVaxテクノロジーの強化に充当される予定です。

      <![CDATA[Mountain View, CA and TOKYO – May 6, 2008 – REGiMMUNE Corporation, a privately held biopharmaceutical company, announced today that it has closed its Series B financing for a total of $8 million U.S.  Proceeds from the financing will be used to advance the company’s lead program, RGI-2001, to human clinical trials for graft versus host disease (GvHD).  Preclinical development for GvHD associated with bone marrow transplantation has been completed and an Investigation New Drug application is expected to be filed in late 2008.
“This financing underscores our ability to make significant progress towards the clinic and   eventual product commercialization,” commented Haru Morita, President and Chief Executive Officer of REGiMMUNE.  “To thrive as REGiMMUNE has, in a very difficult business environment for many biotech companies in Japan, is a particularly great achievement.” 
New and existing investors include NIF SMBC Ventures Co., Ltd.; CSK Venture Capital Co., Ltd.; Japan Asia Investment Co., Ltd. and Yasuda Enterprise Development Co., Ltd. 
The company’s proprietary technology platform, MultiVax, induces antigen-specific immune tolerance via induction of Tregs, a T-cell subset that plays a central role in controlling immune responses to self-antigens and pathogens when administered at the time of exposure to disease-causing antigens. Because of its specificity in targeting immune suppression, MultiVax is anticipated to exhibit higher efficacies with more favorable safety profiles over current immunomodulatory drugs. 
 
RGI-2001 for GvHD 
REGiMMUNE plans to start development of its MultiVax product RGI-2001 to treat GvHD following allogeneic stem cell transplantation (SCT) primarily for bone marrow transplants. A major clinical challenge associated with allogeneic SCT is to maintain a fine balance of the immune system to prevent GvHD, serious infection, and/or recurrence of malignancy. This balance is critical because intensive immune suppression will result in infection and recurrence of malignancy while insufficient immune suppression may cause GvHD. 
Serious GvHD occurs in up to 40% of HLA-matched allogeneic SCT cases, and 100% in haploidentical, related allogeneic SCT.  Current treatment is prophylactic use of immunosuppressants such as cyclosporine A.  High-dose steroids are administered once GvHD occurs but the condition often progresses to steroid refractory status and there is no proven second-line therapy for steroid refractory GvHD.  Prevention and treatment of GvHD thus represent high unmet medical needs addressing serious, life-threatening conditions.  If alloantigen specific, selective immune suppression can be induced with RGI-2001, it would be possible to suppress GvHD while maintaining protective immune responses to infection and recurrence of malignancy.

      <![CDATA[本日の日経産業新聞１面で当社のRGI-2001プログラムが紹介されました。
　
　RGI-2001は骨髄移植の拒絶抑制作用を有する開発品目で、当社のreVax(リバックス）テクノロジーを用いて開発を行っております。当社は2009年前半の臨床試験入りを目指して開発を進めております。
 
　reVax技術は<a href="http://www.regimmune.com/news/000044.php" target="_blank">キリンファーマとのライセンス契約</a>に基づきKRN7000（αガラクトシルセラミド(αGalCer)の一種)と呼ばれる糖脂質の一種を含むリポソーム製剤による免疫制御技術です。reVax技術は独立行政法人理化学研究所（理研） 免疫・アレルギー総合研究センター、石井保之博士により開発された基本技術をであり、<a href="http://www.regimmune.com/news/000020.php" target="_blank">当社は理研より独占的なライセンスを受けています。</a>
　
　reVax技術を用いることにより、生体防御機能としての免疫機能を維持したまま、特定の免疫反応だけを抑制することが可能であり、これまでの免疫抑制剤の問題であった免疫機能の全体的低下を防ぐことが可能です。免疫機能が失われた場合には感染、癌の発生・進行が起こる可能性が高くなりますが、この技術ではこういった問題を解決することが可能です。
　
　　我々は薬効試験および製造技術の確立、毒性試験の一部を終えており、早期の米国治験申請目指して現在前臨床試験を行っております。

      <![CDATA[　免疫システムは自己と非自己を見分けて、外部から侵入する異物に対してのみ防御を行うように高度に最適化されています。しかし自己免疫疾患、アレルギーあるいは移植などの多くの免疫疾患において、このシステムが破綻することにより、免疫は過剰な反応を行ってしまい、結果、こういった疾患を引き起こします。
　ではなぜ免疫がそもそも自己に反応しないかというと、それは自己に対しては「寛容」が誘導されているからであり、このメカニズムを上手く利用することにより、こういった「不要」あるいは「過剰」な免疫反応による疾患に対する治療が可能であることが最新の免疫学の成果により一つの治療の方向として見えてきました。
　
　この免疫寛容誘導法により期待されるのは「不要」あるいは「過剰」な免疫だけが抑制され、生態防御はそのまま維持されるということにあります。すなわち自己免疫疾患においては免疫が不必要に反応する自己に対する反応のみが抑制され、アレルギーにおいては過剰に反応する外来抗原に対する反応を抑制し、移植においては移植片あるいは移植細胞に対する反応だけが抑制されて、現在用いられている免疫抑制剤で問題となっている感染、ガンの再発に対するリスクを改善するところにあります。

      <![CDATA[The immune system is precisely tuned to distinguish biochemical structures that belong to the body from those that do not, allowing it to swiftly deploy a potent array of defense mechanisms whenever evidence of a foreign invasion is found. However, many diseases, including autoimmune disorders, allergic diseases, and transplant rejection, are themselves caused by inappropriate immune system responses. To fight these disorders, researchers are now building on two decades of intensive basic research in immunology to develop treatments that can induce the immune system to tolerate specific antigens. Recent progress in the development of these therapies, which have the potential to be both very potent and broadly applicable, has been very encouraging.
　
All tolerance-induction strategies share a common goal: to selectively prevent or diminish specific harmful immune responses without disabling the immune system as a whole. In autoimmune diseases, the idea is to make the immune system tolerant to the specific, normally occurring antigens that cause it to attack the body’s own organs, tissues, or cells. In asthma and allergic diseases, the goal is to prevent responses to allergens such as cockroaches and house dust mites, which cause or exacerbate these diseases. For transplant rejection, the goal is to selectively block immune responses directed against the foreign antigens on the graft and thereby allow long-term graft survival without the heightened risks of infection, malignancy, and atherosclerosis associated with current immunosuppressive therapies.

REGiMMUNE plans to keep this round open for several months for additional venture firms interested in becoming part of the syndicate. 
 
Proceeds from the financing will be used to complete the IND filing for RGI-2001 and to expand  the company’s proprietary technology platform, reVax (reverse vaccination).

      MOUNTAIN VIEW, CA and TOKYO – Jan 28, 2008 -- REGiMMUNE Corporation., a privately held biopharmaceutical company, announced today that the company recently signed a license agreement with Kirin Pharma Company, Limited for the exclusive worldwide rights to use Kirin’s clinical stage compound, KRN7000, formulated with a liposome.


KRN7000 is a biological response modifier that belongs to a chemical class called alpha-galactosylceramides, or alpha-GalCer.  Originally isolated from a marine sponge, this compound was first investigated as a potential anti-cancer compound. KRN7000 was later found to act as a ligand for natural killer T (NKT) cells, exhibiting potent immunomodulatory activities.  The compound has been extensively studied, with more than 1,000 scientific research papers published to date.  Kirin Pharma had conducted clinical studies of KRN7000 for the treatment of cancer, as well as for hepatitis B and hepatitis C.


By incorporating KRN7000 into a specific liposomal formulation, REGiMMUNE has developed a proprietary, immunomodulatory platform technology, reVax, applicable to a broad range of immune disorders. reVax technology uniquely induces antigen-specific immune suppression via induction of regulatory T cells (or Tregs), a T cell subset that plays a central role in controlling immune responses to self-antigens and pathogens. REGiMMUNE’s reVax is the first and only available technology to pharmacologically enhance the function of Tregs.  Induced by reVax, Tregs downregulate pathologic immune responses and maintain a fine balance between immune activation and immune suppression to a given antigen. Further, because of the antigen-specific manner of immune suppression, reVax products are anticipated to maintain the body’s normal immune function.


REGiMMUNE applies reVax technology to develop drugs for the treatment of various immune disorders, including allergy, such as cedar pollen allergy, graft versus host disease (GvHD) associated with bone marrow transplantation, solid organ transplantation, and autoimmune diseases.       <![CDATA[REGiMMUNE today announces it has appointed Dr.  Professor Robert NEGRIN as a new Scientific and Clinical Adviser to the company.
 
Dr. Negrin is Professor of Medicine in the Division of Blood and Marrow Transplantation at Stanford University. He also holds the positions of Medical Director of the Clinical Bone Marrow Transplantation Laboratory and Division Chief of the Bone Marrow Transplant Program at Stanford University.
 
He trained in both medicine and hematology at Stanford University and joined the faculty in 1990. His research work has focused on cellular immunology, in particular developing a more fundamental understanding of complex biological reactions such as graft versus host and graft versus tumor reactions in animal models and in the clinic.
 
Dr. Negrin was recently President of the American Society of Blood and Marrow Transplantation and is the recipient of many prestigious honors including the 2004 Distinguished Clinical Scientist Award from the Doris Duke Foundation. Dr. Negrin received his undergraduate degree from the University of California at Berkeley and MD from Harvard University. 
 
Dr. Negrin is a leading expert in bone marrow transplantation and regulatory T cell, having contributed to over 125 original papers and 35 book chapters..

      <![CDATA[10月より並川玲子氏（医師、医学博士）が当社執行役員、戦略開発企画担当に就任しました
 
並川博士は医師として臨床の現場に立たれたのちに、<a href="http://med.stanford.edu/profiles/Irving_Weissman/" target="_blank">スタンフォード大学医学部、アービン・ワイスマン(Irving_Weissman)教授</a>のラボに留学され、そのラボで開発されたSCID-huマウス技術をもとに設立されたSyStemix社(1989年 NASDAQ上場、後にNovartis社に買収）の創業メンバーとして活躍をされました。その後、<a href="http://www.schering-plough.com/biopharma/aboutbio.jsp" target="_blank">Dynax研究所(現-Plough Biopharma in Palo Alto)</a>に移られ、SCID-hu技術の新たな応用についてご研究をされました。さらにBioGenomics, Inc.,の創業、GeneTrol Biotherpeutics, Inc.の経営にＣＳＯとして携わられたのちにコンサルティングに身を転じ、<a href="http://www.clearviewprojects.com/" target="_blank">Clearview Projects, Inc.社</a>のExecutive Director, Science & Medicine</a>としてご活躍をされました。

      <![CDATA[We are very pleased to welcome Reiko Namikawa, M.D., Ph.D., to the REGiMMUNE leadership team as Vice President of Strategic Development Planning. Dr. Namikawa’s more than 25 years of research, clinical and business experience in life sciences complements the significant expertise already on board at the company.  At REGiMMUNE, Dr. Namikawa will be applying her medical and clinical research and development background to the design and implementation of the company’s preclinical studies.  Additionally, she will contribute her business experience to help the company achieve its business development objectives for product licensing and collaborations.
 
Among her many accomplishments, Dr. Namikawa was a founding scientist at SyStemix, Inc. where she developed the SCID-hu mouse system for the company, which she invented at Stanford University with her colleagues Hideto Kaneshima and Mike McCune. Her business experience in the biotechnology industry encompasses strategic business planning, business development, and analysis for product commercialization as well as in- and out-licensing activities between U.S. and Japanese pharmaceutical companies.

Dr. Namikawa received both her Ph.D. and M.D. degrees from Nagoya University School of Medicine; and was a postdoctoral fellow under in Dr. Irving Weissman at Stanford University. Her research focus was in the disease mechanisms of hematology, oncology, immunology, and infectious diseases. She is the author of more than 60 publications in major journals and 5 issued patents.

      Mountain View, Calif. and Tokyo, Japan – August 7, 2007 – REGiMMUNE Corporation., a privately held biopharmaceutical company, announced today it has been awarded a grant from the Japanese Ministry of Economy, Trade and Industry (METI).  REGiMMUNE received the grant under the METI-sponsored Regional New Consortium Projects/New Industry Creative-Type Technology R&amp;D Promotion Programs, which is intended to promote new industries and new small businesses in Japan.

The one-time grant will provide a portion of the funds for the company’s development of its immune regulatory therapeutics for cedar allergy.  The METI program is similar to the Small Business Innovation (SBIR) grant programs from U.S. government agencies such as the National Institutes of Health and the Centers for Disease Control. 
“This award validates the importance of  REGiMMUNE’s reVax technology to address the unmet need for cedar allergy treatments, which is an urgent issue in Japan,” said Haru Morita, CEO and President of REGiMMUNE. “We are pleased that METI has recognized the potential of our technology with this generous grant.”

今回の増資によって創業（2006年3月）以来の合計調達金額は6億6,600万円となりました。資金の使用目的は開発プロジェクトであるmultiVaxおよびidioVaxの開発資金および米国ラボの運営に充当されます。

The original lead investor NIF SMBC Ventures Co., Ltd. led the round, with the participation of existing investor Japan Asia Investment Co., Ltd. and new investors JAFCO Co., Ltd.; Orix Capital Corporation; Yasuda Enterprise Development Co., Ltd.; New Business Investment Co., Ltd.; Mitsubishi UFJ Capital Co., Ltd. and Fund Creation Co., Ltd. REGiMMUNE plans to keep this round open for potential venture firms interested in becoming part of the syndicate. 





Proceeds from the financing will be used to further the preclinical development of REGiMMUNE's first two product candidates, RGI-2001 and RGI-1001, as well as expanding the R&D staff and setting up development operations at the company's U.S. subsidiary, established in late 2006.

      <![CDATA[2007年2月1日に当社の米国法人であるレグイミューン・インク(REGiMMUUNE Inc.)は、カリフォルニア州サンノゼ(San Jose)市よりマウンテンビュー(Mountain View)市に移転いたしました。


2006年11月1日に現地法人をサンノゼ市内にJETRO様のサポートによってJETRO様サンノゼ・オフィス内のインキュベーションセンターに開設いたしましたが、今後の開発の推進にあたり実験施設を兼ね備えた施設に入居いたしました。当現地法人は当社の唯一の開発拠点として今後の前臨床、臨床試験を行って参ります。開発スタッフは今後全て当現地法人に集約されることになります。

クレイトン氏はジェネンテック(Genentech)でVP, Treasurerとして株式公開前後から9年間の資金調達などを担当しておりました。その後、Protein Design LaboratoriesのCFO、Raven Biotechnologiesの共同創業者社長などシリコンバレーの数々のバイオテック企業で財務の要職を歴任して参りました。
また直近では抗体のヒト化技術のベンチャー、Abmaxisにおいて社長兼CEOとして事業をリードし、2006年5月にメルクによる買収を成功裏に実現しており、2006年の成功例としてバイオテック、製薬業界で広く知られています。


米国で事業を展開する当社にとって、クレイトン氏の参加は約30年にわたって氏が築き上げてきたネットワークへのアクセスをもたらすばかりではなく、大きな信用を当社の事業に与えることとなりました。

As Vice President and Treasurer at Genentech, Inc., the first biopharmaceutical company, Ms. Clayton was actively involved in the early financing of the biotechnology industry. Prior to her role at Abmaxis, she co-founded Raven Biotechnologies, a cell biology company developing monoclonal antibody products, and served as its President and Chief Financial Officer.

She is a member of the Board and Audit committee of Metro Bancorp and a member of the Board of Metro United Bank and Chairman of the Credit committee. Ms. Clayton received her MBA from the Stanford University, Graduate School of Business, and her BS in Chemistry from Smith College.
